I am in full time job and would like to start a business on side, i will not be making any money first year and i will be spending money building business up.
What kind of company should i register based on following points-
1- If i go for VC funding what structure will make more sense.
2- Can i write-of first year investments against my earnings from job or will they be 2 completely different things.

Thank you- I am in US so sole proprietorship means INC or LLC. Any site i can refer to register
