What are these Windows 7 Upgrade Editions?

I'm getting a little bit confused, I have Windows 7 Professional 32-bit disc and key but it says Upgrade Edition and that previous OS needs to be installed first (or something very similar), I never used it on my old pc and stayed with Xp, but now I'm buying a new pc and was thinking of borrowing someones 64-bit Professional disc and using my 32-bit Professional key to activate it (as I found out - it works), but I'm confused about the whole Upgrade thing. Shouldn't every disc offer a Upgrade or Custom (Clean) installation? Do I need to get the Upgrade 64-bit version or will the key work on the regular one, too? If there in fact are different Upgrade and ''regular'' Editions... Thanks!
