should a 2006 mazda 6 need a new transmission after 120,000 miles?

I've done everything you should to take complete care of my car. I had a transmission flushed at 60,000 miles and haven't had any problems with it until now. It hesitates shifting when going up a hill and attempting to speed up. I was just told that I need a new transmission because the issue is an internal one. I could go that route or have someone attempt a rebuild? I was told all of that by the dealership. Should I attempt to take it elsewhere to be looked at? Should I be having to do that at 120,000 if I've taken as good of care of it as I know I have?
no new clutch.. i've been reading about other people having the same issue i've had. mazda knows about it and if it'd happened before my warranty ran out, they'd probably be giving me a new transmission. something about a valve control body?
