How much would you pay for this honda crv?

I found a 1998 honda crv for sale with 120k miles...the blue book value in good condition is $4600... Fair condition is about $3300. It needs the a/c compressor replaced...How much should I offer since it needs this work done-shop will be replacing compressor, drier, and recharging the a/c system?
Also, if the timing belt has not been changed, how much more should I take off for that?
