Car shopping help w/2008 Cadillac?

2008 Cadillac STS V6 Luxury Sports Sedan w/MSRP: 43,215.00 has a 2009 Vin # because car hasn't bee titled. Basic but very -very nice...Dealer is offering w/GM discount and a few incentives at $31,000.. Approx. $13 -14,000 less with trade-in of a 93 El Dorado w/100,000 and 66 months @ 6.9% Do you think its a good deal? And, for 66 mos. @ 6.9 financing.
