only? or is (e)mail enough? The bylaws state they must "be presented to the board before execution". In context, it's clear that an actual vote of the board is not necessary.
 
If the board does not have to vote I don't get why they would be "presented" to the Board.

Logically the Board has to meet to take any action unless it has specifically a policy or bylaw about electronic meetings.
