Internal combustion engines, like one on your ATV require oxygen in order to cause the combustion of the air/fuel mixture in the combustion chamber. Without oxygen, the spark from the spark plug will not ignite the fuel and the engine will die.
It doesn't matter if your air filter is water tight, if it can't get oxygen (because it's underwater) for the engine you might as well not put any fuel in.
