2002 JEEP GRAND CHEROKEE TRANSMISSION PROBLEMS?

Hi guys
Yesterday I went out with my Jeep which has 104000 miles and it drove perfect. Today i started the car, it made some wierd noise for 2 senconds (right after starting it) and it wouldnt change gears while driving it. I called the car dealership that I bought my car from and they took it to the shop and told me that my transmission was completely messed up. I gave them the ok to fix my car which will cost $ 750.00 to rebuilt the tranny but for some reason I kinda regret it because I think that it might be something small, and they want to make money so they are telling me to rebuild the tranny. How can I know if it really needed to be rebuilt? and once done, how do i know that they really rebuilt it? The car wouldnt change gears unless i floored it all the way to 4500 rpms.... I thought it was a sensor or something but unfortunately thats not the case. Also my engine light didnt turn on when this happened....??? I'm confused. I would appreciate every answer.. Also is $750.00 a fair price to pay? They are giving me warranty for one whole year.
