You can't install iOS 4 on a iPod Touch 2nd Generation. It is physically impossible in iTunes to even start the upgrade process. I believe the last version you can install is 3.1.3 or so.

I would do a battery pull first...My brother has the same problem all the time with the messager II, and everytime he calls me and I tell him to pull the battery it fixes the issue. The last time he was actually in a native cricket area when it happened. Hope this helps.
