Writing a resume and your company name along with position has changed?

From Jul 2007 to Jan 2008, I has in position XYZ with my company. I had specific roles and responsibilities. In Jan 2009, my company merged with another company ABC and has a different name. I was also given a promotion and received a new title.

My question is how do I properly notate this in a resume. Obviously I am going to have two different job roles/description sections with the time of employment. My fear is I do not want it to look as I have been jumping from different companies in such a short time span.

Would the headings be....

Company ABC - Jan 09-Present
::Role::

Company ABC (Formerly Company XYZ) - Jul 07-Dec08
::Role::
