situation? A is health insurance fund is in the process of negotiating a service agreement with B, a large hospital group to provide day surgery to A's members. the negotiations have led to the inclusion of the following 2 clauses in the draft contract
1: B will not charge any other health insurance fund a lower fee for these services than it will charge A
2: A retains the right to engage an independent party to verify and report whether the above clause has been satified
