What to do with my stupid car? (check engine light on and o/d light flashes)?

I got codes P0421 (cat convertor), P0741 (torque convertor clutch), and P0771 (shift sol E malfunction) on my 2000 Mazda Protege. My check engine light is on and my overdrive off light flashes. I know it's probably a long shot, but I need it to pass emissions to register it; which I doubt it will. Even if I disconnect the battery, I still don't think it will pass. :) Any ideas, suggestions on what could be wrong? Thanks
