Opinions re a Charter in a Seniors Tenants Association?

Before I seek advice from a lawyer I thought to ask the opinions of others here. I live in a Retirement Residence. We have a Charter that has been duly approved and in effect since 2005. One of the rules states that if a member of the Board of Directors voluntary resigns, they are unable to run for office again for one year. Four (4) of the five (5) Directors resigned from their Directorship 4 months ago, leaving no quorum. The Tenants Association per se has not been functioning at all since that time. Elections are due in September and one or more of the resigned Directors is planning to run for office again.
My question is;
1) Is the Charter still an effective document despite no active Tenants Association?
2) Is a resigned Director eligible to run for office next month?
