My Mazda has two catalytic converters? Both need replacing?

I drive a 2002 Mazda Protege ES. I was told today that both o2 sensors are bad and that both the catalytic converters need to be replaced. How come I have two catalytic converters? And how much will this cost me? I plan on buying them used and having a friend install it? Should I get a second opinion?
