Motorola Cliq Vs IPod Touch?

ok so I have an iPod touch and a crappy phone. Im wondering which is better the cliq or the iPod. Ignoring ability to call and camera. Also I'm going to buy the cliq on ebay if I decide to get it so do I need a special card? And it has the 1.5os android os and is there a way to upgrade to the newest os legally for free?
