Is my gearbox going on my honda s2000?

hi i have a honda s2000, in fourth gear when i take my foot off the accelorator it tends to make a grinding noise. Im not sure where it is coming from. It also does the same in third but not the other gears. I have also noticed recently that sometimes when i go to pull off in 1st the car will seem to judder
its done 60.000 im not sure if its a gearbox or clutch problem to be honest
 
Sounds like some slack in the tranny. Could be seriously worn. How many miles?

As well, if it is Auto, it could be the Torque Converter failing. Take it into the dealer - It'll cost ya though!
