Is it worht replacing C's in my report card to improve my gpa for grad schools...

It would help, but many colleges won't let you retake a class if you got a C or better. Check your college handbook.
 
...and law school.? My gpa as of right now is a 3.3 and I dont think it is going to go up much considering i have about 3 C's and 1 D on my transcript. I am definitly going to replace the D, but I very concerned with the C's since law schools and graduate schools take that into consideration. I feel that maybe replacing those C's with A's may help me out a lot in regards to my gpa and overall transcript.
 
Technically, you can't replace grades on your transcripts. If you retake the courses because you want a better grade to raise your G.P.A., then you certainly can do that. However when G.P.A. is calculated they will still take your 3 C's and the D into account along with the new grades you received.
Basically, when you retake courses to raise your G.P.A. you are just adding to the number or units/credit hours taken when the G.P.A. calculation is made. The C's and the D will never go away.
Some schools will take into account that you retook the course and received a better grade, so it might be worth it.
