I am a 5'11", 155lb guy and and I'm complaining about my belly...?

From age 18 to 33 I always weighed between 135lbs and 145lbs with a very flat stomach. I am 35 today and I have a bit of a belly while I weigh in at only 155lbs. I don't drink much beer, one or two per week. I do drink 1 soda every day and one cup of hot chocolate at work most days. I do have 1 maybe 2 of the following fatty foods per week: cup of clam chowder, mashed potatoes with gravy, fettucine with its white sauce, pizza, or french fries. At least 5 days per week I eat things like: baked/grilled chicken breast with rice or vegetables, baby back ribs with bbq sauce, stir fry with chicken and vegetables, or spaghetti. I don't do really any exercise except snowboarding or the occaisional bike ride. How can I get a flat stomach again, is it exercise (situps? running?) or do I need to change my eating habits?
