how do I draft a simple partnership agreement on a trade?

I have a buyer and a seller for a large deal, it requires L/C or Bank Gurantee. So my partner found us a financial backer to join us. We will be responsible the negotiate and the backer provides the financial needs for this deal. And all expense will be reimburse from the profit.
