Business agreements. Which party writes the contract?

If you want to create any sort of profit sharing agreement with another business, who writes the contract? How do you present fo you just fax over an agreement and have them look at it and get back to you. Do you first just explain what you want to do before drafting an agreement. What are the proper procedures?
