2002 Honda Odyssey 161,000 miles needs a rebuilt transmission?

Honda dealer would like to rebuild it with a new PCM for $4400. A mechanic at a transmission shop would to rebuild it without a new PCM for $3000. Who should I believe? What should I look for in replacing this, I want to keep the car a little longer.
 
I also believe you are being overcharged i wouldn't pay more than $2650 for labor and parts! That's ridiculous what your being charged. The car at this point may not even be worth repairing!
